 Background

This transaction will allow you to change the name of an extraprovincial company.  To complete a change of name that involves an assumed name please complete our Change of Name Form 37 and mail to the Corporate Registry for filing.  This includes an extraprovincial company with an existing assumed name or an extraprovincial company that wants to add, change or remove an assumed name.

Refer to section 382 and 383 of the Business Corporations Act.  Please read these sections carefully before you proceed.

1) If a foreign entity that is registered as an extraprovincial company changes its name, the extraprovincial company must provide to the registrar the records and information the registrar may require and must

(a) file with the registrar

(i) a notice of change of name of extraprovincial company in the form established by the registrar, and

(ii) any other records the registrar may require, and

(b) before filing those records,

(i) if it wishes to carry on business in British Columbia under its new name, reserve its new name under section 22, or

(ii) if its new name contravenes any of the prescribed requirements or any of the other requirements set out in Division 2 of Part 2 and the extraprovincial company does not have an assumed name under which it intends to continue to carry on business in British Columbia, adopt an assumed name.

Important Information

There are no statutory filing fees associated with this filing for extraprovincial companies with a home jurisdiction of Alberta, Saskatchewan or Manitoba.

The Alberta fees were eliminated by the Trade, Investment and Labour Mobility Agreement.  The Saskatchewan and Manitoba fees were eliminated by the New West Partnership Trade Agreement.

All other extraprovincial companies must pay the filing fee.

Change Company Name

The extraprovincial company in BC must have the same name as the company in the home jurisdiction.

If the extraprovincial company has a Federal home jurisdiction then type in the new name and home jurisdiction corporate number of the extraprovincial company in British Columbia.  Please type in the name carefully.

If the extraprovincial company does not have a Federal home jurisdiction then a name request number that has been approved is required.  If the name in the home jurisdiction is not available in British Columbia then an assumed name is required.

Confirm Company Name Change

Review the new extraprovincial company in BC carefully.  In most cases it should have the same name as the company in the home jurisdiction.  There may be an exception if the names are out of synchronization due to an amalgamation or continuation in the home jurisdiction.  Or if there is an assumed name in British Columbia.

Getting Started

Before you begin, ensure you have the following information on hand:

Step 1

The company's registration or business number.

Step 2

The company's password or access code.

If the company does not yet have a password, you can create one.

 

Step three

  • Have you reserved your new name?

  • The name reserved must be the same as the name in the home jurisdiction.

  • If the name is not available in BC then an assumed name must be reserved.

  • To complete a change of name that involves an assumed name please complete our Change of Name Form 37 and mail to the Corporate Registry for filing.

  • If your company has a Federal jurisdiction then a name reservation is not required.

  • If your company has a Federal jurisdiction then the name in BC must be identical. Please type in the name carefully
