Overview
Filing an Appointment of Attorney, Change of Attorney Address or Revocation of Attorney The following overview provides the information you need to appoint a new attorney, change the address of an attorney or revoke an existing attorney. Background This transaction will allow you to add an attorney, edit the address or email address of an attorney or remove an attorney. For all BC extraprovincial company types, an attorney is an individual who is resident in British Columbia or an incorporated company. A company must have at least one attorney unless its head office is in British Columbia. In that case attorneys are not mandatory. For an individual the mailing and delivery addresses must be where the individual can usually be reached during statutory business hours. For an attorney that is a company the mailing and delivery addresses must be the company's registered mailing and delivery addresses. There are no statutory filing fees associated with this filing for extraprovincial companies with a home jurisdiction of Alberta, Saskatchewan or Manitoba. The Alberta fees were eliminated by the Trade, Investment and Labour Mobility Agreement. The Saskatchewan and Manitoba fees were eliminated by the New West Partnership Trade Agreement. All other extraprovincial companies must pay the filing fee. Foreign Jurisdiction Information Attorney Information Foreign Jurisdiction InformationCarefully review the home jurisdiction information that is displayed. If the home jurisdiction needs to be updated return to the Services Menu in Corporate Online and file a Change of Head Office or Jurisdiction Information before proceeding. If you do need to change the number or date without changing the jurisdiction, you may need to complete a Form 47 Application to Correct the Corporate Register or Form 34 Notice of Amalgamation and mail it to the Corporate Registry. Appointment of AttorneyWhen the appointment of attorney filing has been completed, it is effective immediately. Corporate Online will provide confirmation of the appointment to the attorney identified as the new attorney as well as to the submitting party. Revocation of AttorneyThe revocation of an attorney takes effect at the beginning of the day following the date on which the revocation has been filed in Corporate Online. An extraprovincial company cannot revoke the last attorney on file, unless it has, under its charter, a head office in British Columbia. After a revocation of the appointment of an attorney takes effect, Corporate Online will provide confirmation of the revocation of appointment to the attorney whose appointment has been revoked as well as to the submitting party. In order to satisfy the requirements of the Business Corporations Act section 386, the extraprovincial company may have to first appoint a new attorney. In order to appoint a new attorney, file a Notice of Appointment of Attorney in Corporate Online. The appointment of an attorney is effective immediately. Then go ahead and file the revocation of attorney. Change of Attorney AddressThe change of address of attorney takes effect at the beginning of the day following the date on which the change of address has been filed in Corporate Online. After a address change takes effect, Corporate Online will provide confirmation of the change of address to the attorney whose address has been changed as well as to the submitting party.
An email address for the submitting party must be entered. A copy of the filing will be emailed to this address. An email address or mailing address must be entered for the attorney that has been added, revoked or updated. A copy of the filing will be sent to the updated attorney.
